The Licensed Software “Bro Secure 360”, is created in cooperation with Smart PC Solutions and securing it.
IMPORTANT—READ CAREFULLY:
Before you install to use the Licensed Software, please read the EULA with the same care you would the terms of any legal agreement.
The End User License Agreement (EULA) is a legal contract that is between the parties (“you,” “your” or “Licensee”) and PC Bro Secure 360, Inc. (“Bro Secure 360”), which outlines specific terms and conditions on that this Licensed Software named above is licensed, not sold to you. The Licensed Software includes computer software, and may also include media with associated content such as printed documents, “online” or electronic documentation, as well as internet-based services.
IF YOU ARE USING OR INSTALLING THE LICENSED SOFTWARE THEN YOU ARE BOUND AND GIVING YOUR CONSENT TO FOLLOW THE TERMS AND CONDITIONS USED IN THIS EULA. IF YOU DO NOT WANT TO AGREE WITH OUR EULA THEN YOU DON’T HAVE TO INSTALL OR USE OUR SOFTWARE.

LICENSE TERMS
CONTENTS.
Licensed Software” refers to the “Licensed Software” includes all of the information contained in the file(s), disk(s), CD-ROM(s) DVDs, and other media for which a EULA is available, which includes:
(1) third-party computer information or software that Bro Secure 360 has licensed in the Licensed Software;
(2) written documents or files related to (2) written materials or files relating to Licensed Software (“Documentation”);
(3) upgrades (3) updates, modifications (3) additions, upgrades, and copies (3) of Licensed Software, if any (collectively, “Updates”).
INSTALLATION AND ACTIVATION.
If Licensee does not have a Site License Agreement, Licensee is permitted to install and/or use only an individual copy of Licensed Software per user license that is included in the Software. To determine the number of user licenses is included in the Software, Licensee should review the Licensed Software packaging or, for Software purchased via electronic download, the order receipt from the. If you wish to purchase additional user licenses to the Licensed Software you can purchase them through the user portal on our website for the price that is listed on the website. Licensee is solely accountable for all costs related to installing this Licensed Software
This Licensed Software contains technological measures designed to protect against the use of software that is not licensed or prohibited.
The Licensed Software might require activation as explained in setup and within the documentation. This activation could require you to provide a serial number and sign up with us. (Note that if you’re installing an initial edition of Licensed Software, you may not require a serial number to activate it. However, we can limit the amount of time you can utilize it. This may affect the duration of use for Licensed Software and/or the scope of the Licensed Software Functionality.) If activation is needed and is not completed within the time duration of time specified in the Documentation or the installation instructions, you will not be able to use the Licensed Software will cease to work until activation has been completed, and at that point, the function can be restored. INTERNET ACCESS
This Software may require an internet connection for access to all features.

PERSONAL DATA PROTECTION
By making use of your Software, you consent and accept the collection and usage of specific data regarding you and your usage in this Software in accordance with Bro Secure 360 Privacy Policy. Additionally, you accept the fact that Bro Secure 360 may collect, utilize, transmit, process, and store information related to your Accounts well as the devices and computers that are associated with them. COPIES:
The licensee cannot make a duplicate copy of the Software for future purposes. Understand that the Documentation cannot be copied.
TRANSFER.
The Licensee is not permitted to sell, rent, lend, assign, etc. without the consent of Bro Secure 360.
USE.
This License is not exclusive. So, this means that the Licensees are not permitted to use any of the Licensed Software except as expressly authorized in this License.
PROHIBITED USES.
(1) Licensee is not allowed to modify them, alter, adapt, or translate any part in the Software;
(2) The Licensee is not allowed to create derivative works from all or any part or any portion of the Software;
(3) Licensees are not allowed to decompile or disassemble or attempt to decipher its source code Software;
(4) Licensees are not permitted to utilize a prior version of Software after receiving a media upgrade or replacement to replace the previous version.
(5) Licensees may not make use of its Software in the operation of vessels, aircraft’s nuclear facilities, life support devices, and communication systems, or any other equipment that fails to function properly and the software could cause injuries, deaths, or environmental damage.
(6) Licensee is not permitted to erase the Bro Secure 360’s trademark or copyright notices, as well as the trademark or copyright notices and notices for third parties Bro Secure 360 has included in the Licensed Software; and
(7) Licensees are not permitted to make use of The Software in any manner that is not permitted in this EULA.
CONTENT UPDATES
Bro Secure 360 might bring in some new updates. These kinds of Updates are generally known as “Content Updates.” Bro Secure 360 can at its sole discretion, and without prior notice, change, add, or eliminate features, such as Content Updates in the Licensed Software at any time.
SUPPORT.
Bro Secure 360 is not obligated under this EULA to offer Licensee any technical assistance related to the licensed Software However, Licensee may request additional support services at an additional cost according to the services Bro Secure 360 may offer from moment to moment during the duration of the EULA.
DISPUTE RESOLUTION.
IF YOU ARE A CITIZEN OF ANOTHER COUNTRY, LOCATED IN, A UNION MEMBER OF STATE OR ANY PLACE OTHER THAN US, THEN YOU HAVE TO FOLLOW SOME DISPUTES IF YOU PURCHASE OUR PRODUCT –
Any dispute that arises out of or related to this EULA is subject to the sole authority in the Courts of British Colombia, Canada in the manner allowed by the law on consumers of your regular location of residence
IF YOU ARE A CITIZEN OF US THEN THESE DISPUTES APPLY TO YOU WHEN YOU PURCHASE OUR PRODUCT –
This option allows for the speedy and effective resolution of any disputes which may occur with you or Bro Secure 360. Arbitration is a method in private dispute settlement, in which those who have an issue waive their rights to start a lawsuit, be heard in court, or to an open jury trial, and instead submit their disagreements to a neutral third party to be a binding decision. You are able to choose to opt-out of this provision (as described in the following section) this means that you will still be able to bring your dispute before the courtroom, whether before a judge or a jury.
Take the time to read this provision attentively. It states that all disputes with you or Bro Secure 360 are resolved through binding arbitration. Arbitration substitutes the right to appear in court. If you do not sign this agreement to arbitrate, however, you could have the right to make claims before a jury or judge or be represented in a matter brought in court by other parties
Pre-Arbitration Claim Resolution. In all disputes, whether resolved in arbitration or in court you must first provide Bro Secure 360 the opportunity to resolve the dispute. The process must begin by sending a formal notice to us. In the event that Bro Secure 360 does not resolve the Dispute within 45 days from the time it has received your written notice, You may then seek to resolve your Dispute through arbitration.
LIMITED WARRANTY ON MEDIA.
Bro Secure 360 wants that the state that there will be no issue with the software from material damage for a period of 30 days. If you feel that your product is defected due to material damage then you can return the product within 30 days of the time period.
NO WARRANTY ON LICENSED.
The Application is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Application, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Application will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of the company’s provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Application, or the information, content, and materials or products included thereon; (ii) that the Application will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Application; or (iv) that the Application, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law. To the extent any warranty exists under law that cannot be disclaimed, the Company shall be solely responsible for such warranty.
Limitation Of Liability
Any damages that You might incur, the entire liability of the Bro Secure 360 and any of its suppliers under any provision of this Agreement, and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You for the Application or through the Application or 100 USD if You haven’t purchased anything through the Application.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Application, third-party software and/or third-party hardware used with the Application, or otherwise in connection with any provision of this Agreement), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
SURVIVAL OF DISCLAIMERS.
The exclusion of warranties and limitation of liability will survive the expiration of this EULA however it is caused; However, this does not create or confer any right to continue using any Licensed Software after termination of this EULA.
EXPORT RULES.
Licensee must not transfer and/or export, Software into any country or make use of Software in any manner not permitted by relevant export laws and regulations, including when applicable including those of the United States Export Administration Act or other regulations, restrictions, or restrictions. The rights to utilize any Software are granted on the condition that Licensee is in compliance with all Export Laws and all rights granted are forfeited when Licensee fails to conform to those Export Laws.
INTELLECTUAL PROPERTY OWNERSHIP.
The Licensed Software and all licensed copies that Licensee creates are the intellectual property of, and the property of Bro Secure 360, and by third individuals whose intellectual property have obtained a license from Bro Secure 360. The Software Bro Secure 360 is protected by law, which includes, without limitation copyright laws in the United States and other countries as well as international treaty clauses. Except as specifically stated in this EULA Licensee isn’t given any rights to intellectual property with respect to this Licensed Software.
COMPLETE AGREEMENT and BINDING EFFECT.
This EULA is the complete contract between the licensee and Bro Secure 360 relating to the Licensed Software, and it is in addition to any previous or contemporaneous representations, communications, discussions, undertakings or agreements advertising, and understandings regarding those relating to the Licensed Software. The EULA is binding and is in the best interests of both parties as well as any successors or permitted assigns.
MODIFICATION.
This EULA is only able to be modified, amended, or supplemented by the signature of an authorized representative in the company Bro Secure 360.
SEVERABILITY.
Except as stated in the “Dispute Resolution and Arbitration” Section, if any of the provisions in this EULA is found by a judge of competent authority to be contrary to the law, the provision is enforced to the maximum extent allowed and the remaining terms of the EULA remain in full effect and force.
WAIVER.
Any delay or failure by Bro Secure 360 in exercising its rights or remedies will be construed as a waiver unless it is accompanied by Bro Secure 360’s express written notice. Any single or limited exercise of any remedy or right of Bro Secure 360 is deemed to be an admission of waiver or prohibit any other or subsequent exercising of that right or any other rights, or remedy.
PROOF OF COMPLIANCE.
Within 30 days following receiving a request from Bro Secure 360, or Bro Secure 360’s authorized representative, Licensee must give full documentation, and will certify, under penalty of perjury that Licensee’s usage of any and the Licensed Software is in conformity to this EULA.
TERMINATION.
If Licensee is in violation of this EULA and fails to remedy any breach within 30 days from the date of request by Bro Secure 360, or Bro Secure 360s authorized representative, Bro Secure 360 may terminate this EULA at which point the license rights given to the Licensee will immediately end. Additionally, after the termination of this EULA, Licensee shall return to Bro Secure 360 all copies of the Licensed Software, or verify in writing that all copies of the Licensed Software have been destroyed.
MONEY-BACK GUARANTEE
